These Terms & Conditions (“Terms”) govern your use of our website and our sourcing, procurement, inspection, trading and related services.
By using our website or engaging our services, you agree to these Terms.
Orient Grand Sourcing provides international sourcing and procurement services, including:
Product and supplier sourcing;
Manufacturer identification;
Price negotiation;
Product development and samples;
Quality inspection and coordination;
Order and production coordination;
Logistics and shipping coordination; and
Other sourcing and trading services agreed with the customer.
We act as a sourcing and commercial intermediary unless otherwise agreed in writing.
All quotations are subject to confirmation and may change due to supplier pricing, raw material costs, exchange rates, shipping costs, taxes, duties or other circumstances outside our reasonable control.
Unless expressly stated otherwise, quotations do not constitute a binding offer to supply goods.
A quotation becomes binding only when confirmed in writing and, where applicable, payment has been received.
We make reasonable efforts to identify reliable suppliers and provide accurate product information.
However, information provided by manufacturers or suppliers, including specifications, certifications, dimensions, materials, production capacity and product performance, may be subject to verification.
Unless expressly agreed in writing, Orient Grand Sourcing does not manufacture the products supplied by third-party manufacturers and cannot guarantee information that originates solely from those manufacturers.
Where appropriate, customers are encouraged to request samples, inspections or independent testing before placing substantial orders.
Samples may be subject to separate charges, including product costs, tooling, moulds, shipping and development fees.
Unless otherwise agreed, sample approval does not automatically guarantee that every aspect of subsequent mass production will be identical.
Specific production requirements should be confirmed in writing before an order is placed.
Orders are subject to written confirmation by Orient Grand Sourcing.
Customers are responsible for providing accurate product specifications, quantities, delivery information and other requirements.
Payment terms will be specified in the relevant quotation, invoice or commercial agreement.
Orders may not be cancelled after production has commenced unless agreed in writing. Any costs already incurred may be payable by the customer.
Where quality inspection services are requested, inspections will be performed according to the agreed inspection scope and criteria.
An inspection or quality-control report does not constitute an absolute guarantee that every product is free from defects.
Customers remain responsible for reviewing and approving specifications and inspection requirements before production.
Unless otherwise agreed, the customer is responsible for applicable import duties, VAT, customs charges, clearance fees and other destination-country charges.
Shipping dates and delivery times provided by us are estimates unless expressly guaranteed in writing.
Orient Grand Sourcing is not responsible for delays caused by manufacturers, shipping companies, customs authorities, port congestion, weather, strikes, government actions or other circumstances beyond our reasonable control.
The customer is responsible for ensuring that products imported into the destination country comply with applicable laws, regulations, certification requirements, labelling requirements and industry standards.
Where specific certifications or compliance requirements are required, the customer must inform us before placing an order.
We may assist in obtaining or verifying relevant documentation, but unless expressly agreed in writing, we do not provide legal or regulatory certification services.
Customers remain responsible for ensuring that their trademarks, designs, drawings, specifications, patents and other intellectual property may legally be used and manufactured.
Customers must not provide us with materials that infringe the intellectual property rights of third parties.
We will take reasonable measures to protect confidential commercial information provided to us and will use such information for legitimate business purposes and to perform the requested services.
To the maximum extent permitted by applicable law, Orient Grand Sourcing shall not be liable for indirect, incidental, special or consequential losses, including loss of profits, loss of business, loss of contracts or loss of anticipated savings.
Our liability arising from a specific sourcing service shall, where legally permitted, be limited to the amount of service fees paid to Orient Grand Sourcing for that particular service.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law, including liability for fraud or other non-excludable liability.
We shall not be responsible for failure or delay caused by circumstances beyond our reasonable control, including natural disasters, epidemics, war, sanctions, government restrictions, strikes, transportation disruptions, port closures, supplier failures, shortages of materials, power interruptions or significant changes in law or regulations.
The content of our website is provided for general business and informational purposes.
We make reasonable efforts to keep website information accurate and current but do not guarantee that all information is complete, accurate or continuously available.
You must not misuse our website, attempt unauthorized access, introduce malicious software, or use our website for unlawful purposes.

Where a dispute cannot be resolved amicably, the courts of Hong Kong shall have jurisdiction, subject to any applicable written agreement or mandatory law.

The updated version will be published on this page with a revised “Last Updated” date.
Continued use of our website after an update constitutes acceptance of the revised Terms, to the extent permitted by applicable law.
